This is an Agreement (hereinafter "Agreement") between the user of this system (hereinafter "User") and CeleritasWorks, LLC, (hereinafter "Celeritas") a Kansas limited liability company. Celeritas offers use of this System (defined below) conditioned on your acceptance without modification of this Agreement. Your use of the System constitutes acceptance of the Agreement.

NOW, THEREFORE, for consideration given and received, Celeritas and User agree as follows:

System and Data
Celeritas owns certain technology (the System) that allows a user to access, view and analyze certain safety training information and videos (the Data).

Limited Use
Unauthorized access is strictly prohibited. Celeritas grants the Authorized User (User) a personal, non-transferable, and non-exclusive right to access and use the System, only so long as User's user identification and password are valid. User agrees not to use any data or portion of the System provided hereunder for any purpose other than for the purpose identified herein.

Confidentiality
The System and data used in connection therewith contain some proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorized by Celeritas User may not rent, lease, loan, sell, distribute or create derivative works based on the System or Data, in whole or in part. Celeritas grants you a personal, non-transferable and non-exclusive right to use the System and Data.

CELERITAS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE SYSTEM OR THE DATA CONTAINED THEREIN.

No Right or License
The System and Data shall remain the sole property of Celeritas; nothing herein shall be construed as a grant of any license or other intellectual property right in and to the System.
